1. All companies, foreign companies and limited liability partnerships registered in Singapore are required to keep a Register of Registrable Controllers (RORC) either in their registered office address or at the office of their authorised filing agent.
2. It is part of ACRA’s on-going efforts to uphold Singapore’s reputation as a trusted financial hub, and to further enhance the transparency of ownership and control of corporate entities in Singapore. This information will only be made available to law enforcement agencies for the purpose of administering or enforcing the laws. Members of the public will not have access to this information.
3. The Register of Registrable Controllers is a register containing the particulars of the company’s or LLP’s registrable controllers, also known as beneficial owners.
4. For majority of the entities, the registrable controllers are likely to be the shareholders/partners. Usually this are individuals/entities who own more that 25% of the shares in the entity and considered to have “significant interest” in the entity. Consequently, they are to be recognised as controllers and their particulars should be recorded in the entity’s Register of Registrable Controllers (RORC) accordingly.
5. The Register of Registrable Controllers must be set up within 30 days after the company/LLP have been incorporated/ registered. This register must be kept either at the entity’s registered office address or at the address of the entity’s appointed Registered Filing Agent. This information also has to be filed with ACRA.
6. The Register of Registrable Controllers also need to be updated if there are any changes. The entity must send notices to registrable controllers to to get their confirmation and verify their particulars.
